 Undertaking for “Work From Home”

Company hereby authorizes the above-mentioned employee to work from home till further notice.

1.Employee undertakes to adhere to all existing policies of the company, as mentioned in his/her appointment letter/ employment agreement, in addition the Non-Disclosure terms mentioned in Annexure “A” to this Undertaking, which is considered as integral part of this Undertaking.

2. The Employee undertakes that he/she will not share any data pertaining to Company and its Client and any form of PHI via any mode including but not limited to
a. Photography
b. Screen Shots
c. Emails
d. Printout
e. Any other data sharing platform

3. The Employee shall be subject to GeBBS policy on ‘COVID 19-Work from Home’ and shall continue to strictly adhere to the requirements of GeBBS policies on non-disclosure, safeguarding of PHI and Information Security at all times, including when working from home.

4. The Employee shall sign this undertaking and the NDA prior to receiving the systems and will be subject to authorization from the client and GeBBS management to work from home.

5. The Employee shall ensure that at a minimum their personal devices have antivirus/anti-malware software installed, enabled and up to date; operating system updates are enabled and up to date and system firewall is enabled.

6. The Employee shall take all efforts to ensure their work environment at home is secure, the system screen and the data are not visible or accessible to anyone else and not used for any purpose that may compromise the security or functionality of the system.

7. Company undertakes to reimburse the Employee for internet charges upto Rs.500 per month.

8. While working remotely, the Employee is expected to work during their standard agreed upon work schedule and remain accessible via phone during the scheduled work time. The Employee continues to account for the time worked and report the same to their supervisors.

9. The Employee working remotely will remain as productive as they would have been working in an office environment. The Employee is fully cognizant that the temporary work from home status should not negatively impact their productivity or the standard flow of business for the company.

10. The Employee is fully aware that the Company reserves the right to bring civil and criminal legal action against him/her in any appropriate court of law / international court in case of any violation of PHI information or breach any term mentioned herein.

11. The Employee acknowledges that the Company reserves the right to monitor and review all actions taken during their work from home at any point during its usage.

 Employee Non-Disclosure and Confidentiality
(a) Confidential Information

The Employee undertakes not to disclose any of confidential information (Company’s customers lists, trade secrets, intellectual property or confidential material, etc.) with any organizations / individuals that may or may not compete with the Employer. As used in this Agreement, the phrase “Confidential Information and Materials” includes but is not limited to all information belonging to Employer or Employer’s Clients relating to their respective services and products, customers / client names, business methods, strategies, and practices, internal operations, proposals, pricing and billing, financial data, costs, personnel information (including but not limited to names, educational background, prior experience and availability), customer and supplier contacts and needs, sales and client lists, technology, software, computer programs, other documentation, computer systems, inventions, developments, trade secrets of every kind and character, information designated by Employer or any of its Clients and Protected Health Information (PHI) in any form as confidential and all other information that might reasonably be deemed confidential.

The Employee acknowledges that he/she may use such confidential information and materials only during his/her term of employment and solely for the purpose of such employment, and that this right expires upon Employee’s discharge or resignation. The Employee agrees to take any and all reasonable actions, including those requested by Employer or Client, to prevent such disclosure and preserve the security of Confidential Information and Materials. The Employee further agrees that he / she will not directly or indirectly disclose to any person, including to the Client or to any co-workers either during or after his/her period of employment, Employee’s wage rates and terms.

(b) Employee Non-Disclosure and Confidentiality

The Company makes every effort to abide by all applicable State and Federal laws, guidelines, policies, regulations, statutes of the countries to which our clients belong. In particular, this includes two specific regulatory acts of the United States of America; 1) the Health Information Portability and Accountability Act (HIPAA) and 2) the Federal Trade Commission (FTC). HIPAA controls the release of Personal or Protected Health Information (PHI) dealing primarily with patient information. FTC has established a rule related to the safeguarding customer financial information.

In order to ensure compliance to above laws, the Company has adopted following policies which all Employees of the Company are required to follow strictly:

It is extremely important to handle all confidential information with discretion, labelling it “confidential”, safeguarding it when in use, filing or disposing of it properly when not in use, and discussing it only with those who have a need to know for a legitimate business reason. In most cases, the Company data of a personally identifiable and PHI nature shall remain secure from public disclosure (release to third parties) without specific permission from the client and the individual to whom those data pertains. All users of the Company data and Client data and PHI in any form and information systems shall follow the practices outlined below:

Data originated or stored on the Company’s computer systems are the Company’s property. The Employees shall access only data which includes and is not limited to Company and Client data and PHI, that which is required for their job. The Employees shall not make or permit unauthorized use of any confidential data as mentioned here. They shall not seek personal or financial benefit or allow others to benefit personally or financially by knowledge of any data that has come to them by virtue of their work assignment.

The Employees shall not release the Company’s and Client’s data and any form of PHI in any format except as required in the performance of their job. The Employees will not remove an official record or report, or copy of one, from the office where it is maintained, except as may be necessary in the performance of their job. They shall not exhibit or divulge the contents of any record or report to any unauthorized person except in the conduct of their work assignment and in accordance with office and University policies and procedures.

The Employees will not share their computer login information, including password(s) with others or leave their written password(s) in a place that could be accessible by others. If a user has reason to believe others have learned their password(s), they will report the problem to their supervisor and will take appropriate action to have the password(s) reset. The Employees shall not attempt to use the logins and passwords of others, nor allow their logins and passwords to be used by others. In the near future, under the HIPAA law, the Employees must change their passwords regularly to assure that the Company’s, Client’s data and PHI data is safeguarded.

The Employees will maintain security for confidential data in their possession or to which they have access by protecting computer media, forms and printouts from unauthorized access and will dispose in a safe manner. Further, the Employees will not leave their PC signed on when unauthorized people could access it, will change their password(s) on a regular basis, and will take other precautionary measures necessary to protect and secure, confidential, or sensitive data.

Examples of private, confidential information include, but are not limited to: Social Security Numbers, Financial Information, Financial Aid Applications, Copies of Tax Returns, Health Records, Birth date, Home address or phone number, Passwords, Gender, Ethnicity, Citizenship, or Citizen visa code, Veteran and disability status, Educational services received, Student academic information (grades, courses taken, schedule, test scores, Advising records, etc), Disciplinary actions, and Student ID.

(c) All personal and personnel information should be treated as confidential.

Notwithstanding anything to the contrary contained herein, if an Employee contravenes any of the provisions of this Agreement, or any other act or omission, which is injurious to the interests of the Company, the Company shall be entitled to take disciplinary action which may include termination of his / her appointment, without any notice.

(d) Ownership of Data & Intellectual Property.

While being an employee of the Company, he/she will promptly disclose to the Company, all Intellectual Property developed by him/her, solely or jointly with others, in the course of the employment. Intellectual Property includes each discovery, idea, improvement, or invention created, conceived, developed or discovered, alone or with others, which relates to the Company's business or results from the use of the Company's equipment, supplies, facilities, or information. All Intellectual Property, in whatever form, is the Company's property. Employee will not do anything in conflict with the Company's rights in Intellectual Property and will cooperate fully to protect Intellectual Property against misappropriation or infringement by third parties. If the Employee come across any cases of infringement of the rights of the Company in its Intellectual Property, he/she will promptly notify the Company of such infringement and assist the Company in all ways to protect its Intellectual Property.

The Employee agree that the Company will be the copyright owner in all works of every kind and description created or developed by him/her, solely or jointly with others, in connection with any employment with the Company. On the date your employment with the Company ends, the Employee will promptly deliver to a designated representative of the Company all originals and copies of all materials, documents and property of the Company which are in his/her possession or control.

The Employee is required to deal with the Company's money, equipment, material, software products/development, Intellectual Property Rights and documents with utmost honesty, care and professional ethics. In case, if the Employee is found guilty, at any point of time of moral turpitude or of dishonesty in dealing or making away with the Company's money, equipment, material, software products/development and documents or of theft or of misappropriation regardless of the value involved, the Employee services would be terminated with immediate effect notwithstanding other terms and conditions mentioned in the appointment letter. The Company also reserves the right to take legal action as per applicable law for any of the above-mentioned violations.
